Consumer Products Company

Working with senior management of a fast-growing international consumer products company on issues arising in connection with manufacture, distribution and sales. Leading the efforts to formalize business arrangements across all company functions. Creating and implementing policies and compliance for international dealings.

 

Confidential Client

Coordinated the process and registration of our client as a foreign private issuer with the SEC. The filer has over $9 Billion in Assets and over 40 operating business in 19 countries.

 

Consorcio Eólico Amayo, S. A. (Nicaragua)

Drafted, negotiated and advised on the implementation of the engineering, supply, construction, start-up and long-term operations and maintenance of a wind energy power plant with a capacity of 39.9 MW and consisting of 19 wind turbines located in the municipality of Rivas, Nicaragua. AEI Energy

  1. Key role in the structuring and negotiation of strategic acquisitions of diversified city gas company franchises throughout Mainland China, including urban gas pipelines, sales and distribution of piped and bottled gas, and the operation auto-filling stations (AEI Acquires Tongda Energy and Beijing Macrolink Gas).

  2. Led a project to streamline the ownership structure of the company’s international subsidiaries, affiliates and joint ventures. This involved inter-departmental coordination with tax, accounting, and legal staff to produce alternate ownership structures to improve efficiency, reduce cost and administrative burdens, minimize tax, and allow for the ease of movement of investments and dividends through the intermediate holding companies to the parent.

  3. Worked closely with accounting, treasury, and internal controls groups to develop the internal review and approval processes for the efficient transfer of funds from the asset companies through the intermediate holding companies to the parent.

  4. Created database for the treasury group to track all of the company’s domestic and foreign bank accounts, allowing them to be sorted by asset, country, account type and bank and showing the current signatories to each account.

 

Prisma Energy Global Services (International)

  1. Managed the negotiation and development of the agreements for the contribution and separation of Enron's international assets.

  2. Performed the evaluation, selection and managed the implementation of an enterprise-wide Electronic Document Management System.

  3. Created and managed an asset information repository for the international assets to support due diligence requests and asset transfer analysis.

  4. Risk management strategy and advice.

 

Enron Corp. (International)

  1. Successfully negotiated  the settlement of large, complex political risk insurance claims and policies covering projects worldwide.

  2. Managed the bankruptcy filings for over 30 international companies to facilitate the reorganization of Enron's international portfolio.

  3. Coordinated the consent process associated with the transfer of over $1 billion in energy assets to Prisma Energy International Inc.

  4. Managed the assembly and implementation of an electronic data room and coordinated the required consents in support of a potential sale of Estate assets.

  5. Managed the liquidation of nearly 100 international companies in Europe and South America owned by the Estate. This included coordination with internal and external accountants, auditors, lawyers and in-country representative agents to prepare the statutory financial accounts, arrange debt forgiveness agreements, conduct meetings with directors, shareholders and adversarial parties, draft legal resolutions and service agreements.

  6. Managed regulatory compliance matters including the creation of various reports for submission to the Federal Energy Regulatory Commission for interlocking directors and other national and state agencies.

 

Enron Corp.'s Investments in India (India)
Managed the liquidation of the majority of Enron's ~$3 billion investment portfolio in India, including:

 

Dabhol Power Company.  Dabhol is a $2 Billion, 2184 MW power generation and LNG facility located 170 miles south of Bombay, India.  The projects owners include General Electric, Bechtel, and Enron.

 

Enron India Private Limited.  Managed the sale of approximately 115,000 sq ft of office space located in Mumbai, India.

 

Broadband Solutions Pvt. Ltd.  Divested Enron’s interest in an Internet Data Center located in Mumbai, India.

 

Gas Authority of India Limited ("GAIL").  Managed the sale of 7,230,000 highly illiquid GAIL GDRs to one of the largest banking and financial services organizations in the world.

 

Enron Distribution Ventures MHC Ltd.  Sold 190,000 shares of highly illiquid stock in Genesys International Corporation , an India based IT services company.

  1. Developed a methodology for synthesizing a forward price-curve for steel to support trading operations.

  3. Developed a complex financial analysis tool for modeling the costs associated with conversion of iron ore and scrap steel into high-end steel products.
